Terms & Conditions
1. Business-to-Business Services
Alden provides custom document parsing, data extraction, validation, review, migration, integration, workflow automation, hosting, and technical maintenance services for business clients. Services are not offered as consumer products. A specific engagement may be governed by an order form, proposal, statement of work (“SOW”), paid blueprint, addendum, or invoice accepted by the parties (collectively, an “Order”). If an Order conflicts with these Terms, the Order controls for that engagement.
Separate offers: Done for You is contracted implementation and maintenance of scoped pipeline assets. Subscription is the separate existing package offer. The signed Order must identify the offer, ACE Applications doing business as Alden Data Solutions as the contracting party, deliverables, pricing, capacity, acceptance criteria, and data-handling arrangements. Published terms for one offer do not automatically apply to the other, and new website wording does not reprice an existing signed Order.
2. Public Website and Sample Demonstration
The public document-intake workspace is a demonstration using a built-in catalog of machine-readable PDF samples and deterministic sample outputs. It is not a production processing service, does not accept arbitrary visitor uploads, and must not be treated as a substitute for a contracted client system. Examples of integrations, review queues, private access, migration, and output destinations describe capabilities that may be configured in a custom build; they are not promises that every capability is included in the public demo or in every Order.
3. Offer-Specific Tiers and Published Pricing
Prices are in U.S. dollars. The signed Order defines the actual deliverables and fees; the offers below are separate, not interchangeable.
Done for You — document batches and configured workflows
The Done for You pricing page describes separate one-time batches, recurring automation, and custom implementations. The Starter batch is $99 one time. Essential is $249 setup plus $49 per month; Standard is $499 setup plus $79 per month. One-time backlog packages are $299, $499, or $999. Custom implementation starts at $1,000, with ongoing service quoted separately. These offers do not reprice an existing signed Order.
| Done for You recurring plan | Monthly price | Published starting allowance |
|---|---|---|
| Essential | $49 | 50 invoices or 100 pages per cycle, whichever comes first |
| Standard | $79 | 150 invoices or 300 pages per cycle, whichever comes first |
Done for You allowances and delivery targets are subject to sample validation and confirmation in the written scope; they are not unlimited commitments or guaranteed turnaround times. Agree supported layouts, fields, outputs, capacity, support, external costs, payment schedule, and service-start date before work begins. Additional processing requires approval. The Subscription page allowance and per-page overage rate below do not apply to Done for You unless expressly adopted in its Order.
Subscription — existing standard packages
The following Subscription package baselines are unchanged. Package allowances are maximum standard boundaries, not a promise that every listed feature or maximum is automatically included. The accepted Subscription Order defines the actual deliverables.
| Tier | Build price | Blueprint | Monthly retainer | Standard positioning |
|---|---|---|---|---|
| 1.1 | $2,500 | Basic discovery included | $250 | One focused workflow and document type |
| 1.2 | $5,000 | Basic discovery included | $400 | Up to two related workflows and document types |
| 1.3 | $8,500 | Basic discovery included | $650 | Up to three workflows and document types |
| 2.1 | $15,000 | $2,500 paid blueprint | $900 | Integrated departmental system with scoped migration |
| 2.2 | $25,000 | $5,000 paid blueprint | $1,500 | Highest standard package; multi-department capacity |
Tier 1 discovery and basic workflow scoping are included in the build price. Tier 2 requires a separate paid blueprint because integrations, migration, routing, permissions, milestones, and acceptance criteria must be mapped before engineering begins. A paid blueprint is a professional planning deliverable and does not obligate Alden to accept a build that is unsafe, unlawful, technically unsuitable, or outside standard capacity.
Tier 2.2 is Alden’s highest standard offering. Larger, regulated, mission-critical, unusually sensitive, or enterprise-grade projects require separate review and may be phased, referred to a specialist partner, quoted under different terms, or declined.
4. Processing Eligibility, Subscription Allowances, and External Costs
The following page allowances and overage rates apply to Subscription only, unless a Done for You Order expressly adopts them.
- Every standard tier includes processing for the first 100 document pages per monthly billing cycle.
- Pages above the included amount are billed at $0.75 per processed page, unless an Order states a different rate.
- Expected volume above 2,000 pages per month requires a tailored estimate. The final rate may depend on document eligibility, layout variance, field count, validation complexity, and destination requirements.
- Third-party subscriptions, software licenses, cloud-provider charges beyond the included scope, AI usage, payment-provider fees, and external API usage are separate from Alden’s published build and monthly prices unless expressly included in an Order.
Both offers require typed, machine-readable PDFs containing an embedded, selectable text layer for automated extraction. Eligible files may receive scoped extraction, validation, and review. Photos, image-only scans, OCR, handwriting, and otherwise non-machine-readable PDFs are outside the supported automated scope and are rejected or flagged as unsupported. Possible manual data entry requires separate discussion and written scope; it is not included or promised available.
Calculator results and website estimates are planning aids only. Final charges are determined by the accepted Order and actual usage.
5. Orders, Deposits, and Payment
Work commencement
Alden is not required to reserve engineering time or begin work until the applicable Order is signed and the required upfront payment has cleared. For Done for You custom implementations, payment is 50% upfront and 50% after validation against the agreed criteria, before delivery. Validation is not the final handoff; the Client must be able to review the scoped validation results before the balance is due. Batch and standard-package payment schedules, first monthly payment, and service-start dates are stated in the Order. For Subscription, unless its Order states otherwise, a custom build requires a 50% build deposit, with the remaining build balance and first monthly retainer due before production access, final integration, or deployment handoff.
Subscription — non-refundable custom work
For Subscription custom work, blueprint fees compensate Alden for planning work and are non-refundable once that work begins. Build deposits become non-refundable once custom architecture, configuration, development, or other client-specific work begins. If the Client elects full upfront payment, that payment becomes non-refundable once custom work begins, except where Alden materially fails to provide the agreed work and does not cure the failure after reasonable written notice. Consumer trial, cooling-off, and money-back guarantees do not apply to these Subscription custom B2B services except where non-waivable law requires otherwise.
Invoices and taxes
Invoices are due on the date or schedule shown in the applicable Order. The Client is responsible for applicable sales, use, withholding, or similar taxes, excluding taxes on Alden’s net income. Overdue amounts may result in paused work or suspended access after reasonable notice. The Client is responsible for reasonable collection costs to the extent permitted by law.
6. Scope, Change Control, and Client Cooperation
The Client must provide timely access to representative documents, required fields, business rules, authorized systems, reviewers, credentials or connections, and decisions reasonably needed to perform the work. Timelines depend on that cooperation and on document quality, third-party availability, and scope stability.
Agree sample handling before requesting or transferring client documents: purpose, data types, transfer method, authorized access, actual processing providers and locations, retention, and return or deletion arrangements for files, outputs, temporary copies, logs, and backups. Prefer synthetic or redacted samples and the minimum necessary data. Samples do not authorize broader production processing, training, or unrelated reuse. The signed scope must identify the actual providers and their relevant data-use terms, not assume them from a generic provider list.
Minor maintenance generally includes bug fixes, routine compatibility updates, monitoring, and limited adjustments to existing field mappings or labels within the accepted scope. Major modifications include new workflows, document types, layouts beyond allowances, roles, departments, integrations, migration, feature modules, substantial rule changes, or additional output destinations. Major modifications require a written change order, addendum, or new Order and may change price and timeline.
7. Testing, Acceptance, and Deployment
Alden will make the scoped deliverables available for reasonable User Acceptance Testing (“UAT”), which may include a live walkthrough using representative client samples. The Client must test the agreed workflows and promptly provide specific, reproducible feedback against the written acceptance criteria. Alden will correct verified nonconformities within the accepted scope. New preferences, new document variance, or expanded requirements are change requests rather than defects.
For Done for You, the Client reviews validation results against written acceptance criteria before the final 50% setup payment; delivery follows clearance of that balance. The Order defines the review period, acceptance procedure, handoff materials, and monthly service start. For Subscription, production access, dedicated deployment, source or configuration handoff if applicable, and final integration may remain restricted until required balances and the first monthly retainer have cleared. Use of the deliverable in production or written approval constitutes acceptance, subject to any different acceptance procedure in the Order.
8. Maintenance, Renewal, and Cancellation
Monthly retainers cover only the hosting, monitoring, maintenance, minor adjustments, support allowance, and processing amount stated in the applicable tier or Order.
Monthly invoice billing: For new Done for You and Subscription monthly service orders, Alden issues Payoneer invoices for manual payment; Alden does not automatically collect monthly payments. Each invoice identifies its service period, amount, and due date. The written Order confirms when the first paid period starts and how service is handled if a later invoice is unpaid. Existing signed payment arrangements are not changed retroactively by this wording.
Client cancellation of monthly renewal — both offers
For Done for You and Subscription monthly services, the Client may cancel renewal at any time without advance notice by emailing info@aldendatasolutions.com. Please mention “Cancel” or “Cancellation” in the subject for priority handling and include the business name, account email, and subscription or Order reference if known. Exact subject wording is not required. An otherwise clear cancellation request in the message body also counts.
Cancellation is recorded as of receipt of a clear request identifying the subscription from the Client or an authorized representative, not the later time Alden reads or confirms it. Alden may reasonably verify identity or authority where unclear and will promptly seek any information needed to identify the subscription. Alden will stop future-period invoices and reminders, withdraw any unpaid invoice for a cancelled future period, and confirm the paid-through service end date by email. Cancellation does not erase an amount properly due for an already-agreed current or past service period. Confirmation is not a condition of an identifiable, authorized request taking effect.
The current paid monthly service remains available through the end of its billing period, subject to existing allowances and the security, lawful-use, and suspension provisions of these Terms. Cancellation does not reset or extend allowances. If an identifiable, authorized cancellation request is received before renewal but a renewal charge occurs because Alden processes it later, Alden will reverse that renewal charge. A charge for a renewal that already occurred before receipt is not automatically reversed by cancelling the next renewal.
Cancelling renewal does not itself create a prorated refund for unused current-period service or reverse fees already earned for setup or completed work. This does not limit any otherwise valid refund, remedy for failure to provide agreed services, or non-waivable legal right. One-time Starter and backlog purchases do not renew; stopping unfinished one-time work or implementation is a separate request governed by the written Order and applicable law, not this monthly-renewal procedure.
Email cancellation is an owner-operated process, not an automated billing control on this website. Opening an email link does not send a request; the Client must send the message. The Client should contact Alden again if confirmation is not received; this does not postpone an otherwise valid request. Any additional cancellation method required by applicable law will be provided.
End-of-service arrangements
Cancellation does not include migration, export, transition, or deletion work beyond the agreed scope.
At the end of service, Alden may disable hosted access and handle client data according to the Privacy Policy and Order. The Client should request any agreed export before termination. Third-party provider limitations, fees, and backup cycles may affect timing.
9. Client Data, Privacy, and Security
As between the parties, the Client retains its rights in documents and operational data it provides. The Client authorizes Alden and applicable service providers to process that data only as needed to perform, secure, support, and bill for the services and as otherwise permitted by the Privacy Policy and Order.
The Client represents that it has all rights, notices, consents, and lawful authority required to submit data and instruct its processing. The Client must not submit protected health information, payment-card data, government identification data, children’s data, special-category data, export-controlled data, or other regulated or unusually sensitive information unless Alden has expressly accepted that data and required safeguards in writing.
The Order must record retention and return or deletion arrangements for discovery samples and production data, including provider-held copies, logs, outputs, and backups, and any lawful retention exceptions. Immediate deletion, a universal non-training policy, a compliance certification, or suitability for regulated data is not established by this website or by API credentials. Any required data-processing or transfer agreement must be agreed before the relevant data is accepted.
10. Intellectual Property and License
Alden and its licensors retain ownership of pre-existing materials, reusable frameworks, base automation pipelines, generic connectors, templates, know-how, core architectures, and algorithms (“Alden Materials”). Upon full payment, the Client receives a non-exclusive, non-transferable, non-sublicensable license to use the client-specific deliverables and embedded Alden Materials for the Client’s internal business operations during the applicable service term, unless the Order grants broader rights.
The Client retains ownership of its trademarks, source documents, data, and materials. The Client grants Alden a limited license to use them solely to perform the services. Third-party software remains subject to its own license terms. No source-code ownership, exclusivity, resale right, or right to provide the system as a service to third parties is granted unless expressly stated in an Order.
11. Acceptable Use
The Client and users must not:
- use the website or services unlawfully, fraudulently, or to violate another person’s rights;
- submit data without authority or bypass access, usage, security, or processing controls;
- probe, disrupt, overload, reverse engineer, copy, resell, or create a competing service from protected Alden Materials except where law expressly permits;
- introduce malicious code or use automated means to scrape or attack the service; or
- rely on extracted output without appropriate human review where errors could create financial, legal, safety, regulatory, or mission-critical consequences.
12. Accuracy, Automation, and Client Review
Extraction from eligible machine-readable PDFs, validation, duplicate checks, migration, and integrations can produce errors due to layout changes, source-text quality, source-system behavior, incomplete rules, or third-party failures. Alden does not guarantee perfect extraction or uninterrupted operation. The Client remains responsible for reviewing outputs, maintaining original records, approving exceptions, reconciling financial or operational data, and deciding whether output is suitable for its intended use. Low-confidence or conflicting extracted values require appropriate review; the review interface and who performs that review must be agreed in the Order. Done for You does not mean Alden performs ongoing business approvals or guarantees every output is correct.
13. Third-Party Services
Services may depend on providers or client-designated systems such as Google Firebase, Stripe, Payoneer, storage platforms, AI services, accounting tools, databases, ERPs, CRMs, or APIs. Those services are governed by their own terms, availability, security, pricing, and privacy practices. Alden is not responsible for a third party’s changes, suspension, data loss, outage, or acts, but will use reasonable efforts to communicate and work around material issues within the contracted scope.
14. Confidentiality
Each party may receive non-public business, technical, financial, or operational information from the other (“Confidential Information”). The receiving party will use it only for the engagement, protect it with reasonable care, and disclose it only to personnel and providers who need it and are subject to appropriate obligations. Confidential Information excludes information lawfully known without restriction, independently developed, publicly available through no breach, or rightfully received from another source. Required legal disclosure is permitted after notice when legally allowed.
15. Disclaimers
EXCEPT AS EXPRESSLY STATED IN AN ORDER, THE WEBSITE, PUBLIC DEMO, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALDEN DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. WEBSITE DESCRIPTIONS, DELIVERY TARGETS, SAVINGS EXAMPLES, AND ESTIMATES ARE NOT GUARANTEES; ACTUAL RESULTS DEPEND ON SCOPE, CLIENT COOPERATION, DOCUMENT QUALITY, THIRD-PARTY SYSTEMS, AND OTHER FACTORS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING FROM THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALDEN’S TOTAL AGGREGATE LIABILITY ARISING FROM AN ORDER WILL NOT EXCEED THE AMOUNTS PAID TO ALDEN UNDER THAT ORDER DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. This limitation does not apply where liability cannot legally be limited. An Order may set different limits for a particular engagement.
17. Indemnification
The Client will defend, indemnify, and hold harmless ACE Applications, Alden, and their personnel from third-party claims, losses, and reasonable costs arising from Client-provided data or materials, the Client’s unlawful or unauthorized instructions, the Client’s breach of Sections 6, 9, or 11, or the Client’s use of output in violation of these Terms, except to the extent caused by Alden’s gross negligence or willful misconduct.
18. Suspension and Termination
Either party may terminate an Order for a material breach that remains uncured after reasonable written notice, unless immediate action is reasonably necessary for security, unlawful activity, nonpayment, or prevention of harm. Alden may suspend access or processing for overdue payment, security risk, unlawful use, provider restriction, or use outside agreed scope. Sections that by their nature should survive—including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, indemnification, and dispute terms—survive termination.
19. Governing Law and Disputes
Unless an Order states otherwise, these Terms and related disputes are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve a dispute through written notice and business discussion. Subject to applicable law, courts located in Wyoming will have exclusive jurisdiction. This clause selects governing law and forum and does not represent that ACE Applications has completed a Wyoming corporate formation.
20. General Terms
Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations. The Client may not assign an Order without Alden’s written consent, except with a merger or sale of substantially all relevant assets if the successor assumes the obligations. Alden may use subcontractors and service providers while remaining responsible for its contractual duties. Notices must be sent to the contacts in the applicable Order; legal notices to Alden may be sent to the email below. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. No waiver is effective unless in writing. These Terms and the applicable Order form the entire agreement concerning their subject and replace prior discussions on that subject.
21. Changes to These Terms
We may update these Terms for future website use or future Orders. The “Last updated” date identifies the current version. Changes do not retroactively alter a signed Order unless the parties agree in writing or the Order expressly incorporates updated online terms.
